MAKING A PURCHASE

Basis of contract

These Terms and Conditions govern the purchase of Goods from Knights Garden centre Chelsham or Knights Garden centre Woldingham or our Website. to the exclusion of any other Terms & Conditions of purchase. These Terms & Conditions supersede all other Terms and Conditions of purchase and shall replace any Terms & Conditions of purchase previously notified to you. No variation to these Terms & Conditions shall be binding on us unless agreed in writing between you and one of our authorised representatives. Knights Garden Centres employees and/or agents are not authorised to make any representations or warranties concerning Knights Garden Centres or Knights Garden Centres Website and/or the Goods unless confirmed by Knights Garden Centres in writing. You acknowledge that you do not rely on any representation and/or warranty that has not been made in accordance with these Terms & Conditions.

Knights Garden Centres may modify these Terms and Conditions at any time. Your continued use of the Website shall be deemed to be your acceptance of any such modification which will apply to any subsequent orders placed by you. Knights Garden Centres will not keep a copy of our contract with you and therefore, you should print off and keep a copy of these Terms and Conditions, being our contract with you, for your records.

Orders

Your order is an offer to purchase Goods from Knights Garden Centres. When you place an order with Knights Garden Centres (being your offer to purchase Goods), you do so in accordance with these Terms and Conditions, subject to Knights Garden Centres acceptance of your order. Knights Garden Centres shall have the right to refuse to accept any orders placed for Goods. You shall be responsible for the accuracy of an order and for giving Knights Garden Centres any information necessary for us to perform the contract.

No order for Goods shall be deemed accepted by Knights Garden Centres until Knights Garden Centres send an order confirmation email to you. Our contract with you will be formed when Knights Garden Centres accept your order and send you a confirmation email. Goods are subject to availability and due to the seasonal nature of our business, some Goods may not be in stock at the time of your order. Knights Garden Centres aim to inform you of the availability of Goods by displaying such information on the Website when you browse the Goods. However, if the information is displayed incorrectly and Knights Garden Centres are unable to supply you with the Goods due to the fact that they are out of stock, Knights Garden Centres will inform you by email, as soon as possible. In this instance Knights Garden Centres will cancel your affected order and process a full refund if Knights Garden Centres have already received payment from you for the cancelled Goods. Knights Garden Centres try to make sure that all details contained within the Website are as accurate as possible. On the rare occasion that there is an error, Knights Garden Centres will advise you about it as soon as possible. Knights Garden Centres Website is solely for the promotion of our Goods in mainland United Kingdom. Unfortunately, Knights Garden Centres do not deliver to addresses outside mainland United Kingdom. Knights Garden Centres will not accept orders for the Goods from anyone under the age of 18 years. By using the Website and/or placing orders for the Goods, you confirm that you are aged 18 years or over.

Your rights to make changes to your order

If you wish to make a change to the Goods you have ordered, please contact us using the contact details on Knights Garden Centres Website. Knights Garden Centres will let you know if the change is possible. If it is possible Knights Garden Centres will let you know about any consequential changes to the price of the product, the timing of supply or anything else which would be necessary as a result of your requested change and ask you to confirm whether you wish to go ahead with the change.

Delivery

The cost of delivery will be as displayed on Knights Garden Centres Website and in store, Knights Garden Centres will contact you with an estimated delivery date, which will be within 30 days after the day on which Knights Garden Centres accept your order. Dates and times for delivery are estimates only and are not guaranteed.

Knights Garden Centres are not responsible for delays outside Knights Garden Centres control. If Knights Garden Centres supply of the Goods is delayed by an event outside Knights Garden Centres control then Knights Garden Centres will contact you as soon as possible to let you know and Knights Garden Centres will take steps to minimise the effect of the delay. Provided Knights Garden Centres do this Knights Garden Centres will not be liable for delays caused by the event, but if there is a risk of substantial delay you may contact Knights Garden Centres to end the contract and receive a refund for any products you have paid for but not received. If no one is available at your address to take delivery and the Goods cannot be posted through your letterbox, Knights Garden Centres will leave you a note informing you of how to rearrange delivery. If you do not collect the Goods from Knights Garden Centres as arranged or if, after a failed delivery to you, you do not re-arrange delivery Knights Garden Centres will contact you for further instructions and may charge you for storage costs and any further delivery costs. If, despite our reasonable efforts, Knights Garden Centres are unable to contact you or re-arrange delivery or collection Knights Garden Centres may end the contract. Knights Garden Centres shall not be required to fulfil orders for Goods in the sequence in which they are placed. Knights Garden Centres will also only deliver orders if all of the Goods in an order are available. Knights Garden Centres are not required to deliver orders in instalments. Delivery can initially only be made to mainland United Kingdom. The Goods will be your responsibility from the time Knights Garden Centres deliver, or first attempt to deliver, the Goods to the address you gave Knights Garden Centres.

Price and payment

The price you pay is the price displayed in respect of the relevant Goods on this Website or in store at the time we receive your order plus the applicable delivery charges. Delivery charges and prices are subject to change.

All prices are inclusive of VAT (where applicable) at the current rate.

While Knights Garden Centres try and ensure that all prices on our Website are accurate, errors may occur. If Knights Garden Centres discover an error in the price of the Goods you have ordered Knights Garden Centres will inform you as soon as possible and give you the option of either reconfirming your order at the correct price or cancelling it. If Knights Garden Centres are unable to contact you Knights Garden Centres will treat the order as cancelled. If you cancel an order due to an error in price and Knights Garden Centres have already received payment for the affected Goods, you will receive a full refund. Payment is due at the time you place your order.

Property and risk

Risk in the Goods shall pass to you at the time of delivery, or first attempt to deliver. Delivery shall be deemed to occur at the time when the Goods first arrive at the delivery address provided to Knights Garden Centres by you. The Goods shall remain Knights Garden Centres property until you have paid for them in full or Knights Garden Centres have delivered the Goods to you (whichever occurs later).

Knights Garden Centres are responsible to you for foreseeable loss and damage caused by Knights Garden Centres as a result of your purchase. If Knights Garden Centres fail to comply with these Terms and Conditions of purchase, Knights Garden Centres are responsible for loss or damage you suffer that is a foreseeable result of our breaking this contract or Knights Garden Centres our failing to use reasonable care and skill.

Nothing in this contract shall exclude or limit Knights Garden Centres liability for death or personal injury due to Knights Garden Centres negligence, fraud and/or any of your statutory rights which may not be excluded or limited due to you acting as a consumer and/or due to any applicable law. Any provision, which would be void under any consumer protection legislation or other legislation, shall, to that extent have no force or effect. For further information about your statutory rights, please contact Your Local Authority Trading Standards Department or Citizen’s Advice Bureau.

Knights Garden Centres only supply the Goods for domestic and private use. If you use the Goods for any commercial, business or re-sale purpose Knights Garden Centres will have no liability to you for any loss of profit, loss of business, business interruption, or loss of business opportunity. Knights Garden Centres do not guarantee that our Website will be compatible with your PC, and we accept no liability for any corruption or loss of data held on your PC, or any liability for any other loss or damage of any kind caused to your PC resulting from the use of our Website. Knights Garden Centres Website, catalogues and other media may contain information and materials created and submitted by third parties. To the extent possible, Knights Garden Centres exclude any liability for all losses arising from any error, omission or inaccuracy in any such third party materials or information. No waiver by us of any breach of these Terms and Conditions.

Conditions of purchase shall be considered a waiver of any subsequent breach of the same term or other term. If any term of these Terms and Conditions of purchase is held by any competent authority to be invalid or unenforceable in whole or in part the validity of the other terms of these Terms and Conditions of purchase and the remainder of the affected term shall be unaffected and shall remain in full force and effect. Knights Garden Centres shall have no liability to you for any delay in performance to the extent that such delay is due to any event outside Knights Garden Centres reasonable control including but not limited to acts of God, war, flood, fire, labour disputes, subcontractor delays, strikes, lock-outs, riots, civil commotion, malicious damage, explosion, governmental actions and any other similar events. If Knights Garden Centres are affected by any such event then time for performance shall be extended for a period equal to the period that such event or events delayed such performance. All third party rights are excluded and no third party shall have any right to enforce these Terms and Conditions of purchase. The laws of England shall govern the contract between Knights Garden Centres and any dispute between Knights Garden Centres will be resolved exclusively in the courts of England. English is the only language offered for the conclusion of the contract.

Event ticket purchases

Knights Garden Centres have the right to sell event tickets displayed on our Website, via our shops. When you order your tickets your order will be subject to these Terms and Conditions of purchase and additionally any event ticket issued, will be subject to the Terms & Conditions of the event. Full details and the relevant event Terms and Conditions will be available on the event website. Tickets cannot be used for advertising, promotions, contests or sweepstakes, unless formal written permission is given by Knights Garden Centres. Knights Garden Centres will not be responsible for any tickets that are lost or stolen For information about any ticket purchase you have

made, contact us, quoting your order number shown on your order confirmation. It is your responsibility to check your event tickets; mistakes cannot always be rectified. While Knights Garden Centres try to ensure that all prices on our website are accurate, errors may occur. If Knights Garden Centres discover an error in the price of event tickets that you have ordered, Knights Garden Centres will inform you as soon as possible and give you the option of reconfirming your order at the correct price (and credit or debit your account as applicable) or cancelling your order. If Knights Garden Centres are unable to contact you, you agree that Knights Garden Centres may treat the order as cancelled. If you choose to cancel after you have already paid the incorrect ticket price for the tickets, you will receive a full refund from us. Occasionally, events are cancelled or postponed by Knights Garden Centres for a variety of reasons. Unless indicated otherwise in relation to a particular event, if an event is cancelled, ticket holders will be offered sessions at any rescheduled event (subject to availability) up to the face value of the tickets or, if the ticket holder is unable to attend the rescheduled event or the event is not rescheduled, a refund. Refunds for tickets purchased prior to the date of the original event will be given up to their face value plus the relevant per ticket booking fee. If an event takes place over several days and only one day is cancelled, a partial refund only may be payable corresponding to the day(s) cancelled. Save as stated above, event tickets are non-refundable

CANCELLATIONS, RETURNS AND REFUNDS

Your rights to end the contract

Your rights if you end the contract will depend on what you have bought, whether there is anything wrong with it, how Knights Garden Centres are performing and when you decide to end the contract:

 

  • (a) If what you have bought is faulty or incorrect you may have a legal right to end the contract (or to get the Goods repaired or replaced or to get some or all of your money back), see faulty goods section and incorrect goods section below;

  • (b) If you want to end the contract because of something Knights Garden Centres have done or have told you Knights Garden Centres are going to do, see the section below titled ‘Ending the contract because of something Knights Garden Centres have done or are going to do’

  • (c) If you have just changed your mind about the product, you may be able to get a refund if you are within the cooling-off period, but this may be subject to deductions and you will have to pay the costs of return of any goods, see the section below titled ‘Changing your mind about your order’.

To cancel or change your order, you can email us from the contacts page of our website If you end the contract for any reason after Goods have been dispatched to you or you have received them, you must return them to us. You must either deliver the Goods back to us or (if they are not suitable for delivery) allow us to collect them from you. If you are exercising your right to change your mind you must bring the Goods back within 14 days of telling us you wish to end the contract. You must take reasonable care of the items whilst they are in your possession and you must not use them. Please return the Goods to us in their original packaging, quoting the order reference number. Knights Garden Centres will refund you the price you paid for the Goods (including delivery costs in most cases), by the method you used for payment. If you have exercised your right to change your mind we reserve the right to make a deduction from the amount of any refund for loss in value of the Goods returned or where the Goods show signs of unreasonable use. If you have exercised your right to change your mind, you will be refunded the cost of the least expensive delivery method we offer. For example, if we offer delivery of a product within standard delivery timeframes at one cost but you choose to have the product delivered at a higher cost, then we will only refund what you would have paid for the cheaper delivery option.

 

We will pay the costs of return:

  • (a) if the Goods are faulty or incorrect or

  • (b) if you are ending the contract because of something we have done or are going to do;

  • In all other circumstances (including where you are exercising your right to change your mind) you must pay the costs of return.

 

Faulty goods

If you discover the Goods are faulty, you must notify Knights Garden Centres of the defect within seven days of the date of delivery or within a reasonable period of time of discovery (if the defect was not readily apparent).

Knights Garden Centres may inspect the Goods, either by:

 

  • (a) asking you to return the Goods to us; or

  • (b) by sending a nominated person to inspect the Goods in your possession to assess whether the Goods are faulty.

If Knights Garden Centres agree with you that the Goods are faulty, and that the fault was not caused by your neglect or misuse of the Goods, or fair wear and tear, Knights Garden Centres will (depending on the circumstances) replace, refund or repair (if possible) the faulty Goods at no cost to you. We recommend that you keep receipts for this purpose.

 

Incorrect goods

If Knights Garden Centres send you incorrect Goods, you must notify us as soon as you discover the mistake and within a reasonable period of time. Knights Garden Centres will either:

  • (a) arrange for our Delivery Driver to collect the Goods from you; or

  • (b) ask you to return the Goods to us.

 

We will either, at your choice:

  • (a) send you the correct items as soon as possible after receipt of the returned Goods; or
    (b) refund the price of the Goods.

 

Ending the contract because of something we have done or are going to do

If you are ending a contract for any of the reasons detailed below the contract will end immediately and we will refund you in full for any Goods which have not been provided. The reasons are:

 

  • (a) Knights Garden Centres have told you about an upcoming change to the Goods or these terms which you do not agree to;

  • (b) Knights Garden Centres have told you about an error in the price or description of the product you have ordered and you do not wish to proceed;

  • (c) there is a risk that supply of the products may be significantly delayed because of events outside Knights Garden Centres control;

  • (d) you have a legal right to end the contract because of something Knights Garden Centres have done wrong.

Changing your mind about your order

If you have changed your mind about your order, you may cancel your order in accordance with your legal rights under the Consumer Contracts Regulations 2013.

The ability to cancel orders because you have changed your mind does not apply to:

• (a) perishable goods such as flowers and plants;

• (b) Goods which have been worn, washed and/or otherwise used;

• (c) Goods sealed for health protection or hygiene purposes that have been opened or unsealed after you receive them; or

• (d) any Goods which become mixed inseparably with other items after their delivery.

Products

Please note that any details and/or specifications of the Goods produced by Knights Garden Centres (including but not limited to any photographs of the Goods) are intended as a guide only and only give a general approximation of the Goods. For example, the actual colour of the Goods may vary from the colour in the accompanying photograph depending on your monitor display. Images of live products (such as plants) on the website may be taken at a time of the year when the product is in full bloom. Depending on the time of year that your order is placed, the product you receive may look significantly different.

The packaging of the Goods may vary from that shown in images on Knights Garden Centres Website.

The Knights Privilege Club membership

This section sets out how The Knights Privilege Club collects your personal data, how The Knights Privilege Club uses it and who The Knights Privilege Club shares it with. Under the Data Protection Act 1998 (the "Act"), your data controller is the legal entity that operates the ‘The Knights Privilege Club’ centres or websites from which you joined The Knights Privilege Club.

Use of your personal data

  • (a) By joining up to The Knights Privilege Club and providing your personal data you agree to your name, age, date of birth, postal address, email address and other personal data you supply ('personal data') being used by operators of " The Knights Privilege Club " garden centres and websites as listed above. An up-to-date list of participating centres is available on request.

  • (b) You agree to your personal data being used by The Knights Privilege Club and by the companies we use to help us organise and administer your application and account so that we can send you updates and information by email and/or post about The Knights Privilege Club:

(i) " The Knights Privilege Club " mailings and notification of any programme changes.

(ii) Marketing and promotional materials about goods and/or services on offer at 'The “The Knights Privilege Club “garden centres and websites.

The Knights Privilege Club’ membership

The Knights Privilege Club’ Terms and Conditions as at 30/01/2018

Introduction

The Knights Privilege Club ('Privilege Club') is the trading name for the loyalty scheme that is redeemable as vouchers when they make qualifying purchases run by operators of The Privilege Club, centres and websites (which currently include, Knights Garden Centre Woldingham and Knights Garden Centre Chelsham

These The Knights Privilege Club Terms & Conditions (the 'Conditions') set out the terms on which you can join The Knights Privilege Club, collect the reward vouchers to spend at Knights Garden centres Woldingham and nights Garden centres Chelsham. They are also the terms on which The Knights Privilege Club can use your personal information. If you apply to join The Knights Privilege Club you automatically accept these Conditions.

Joining The Privilege Club and using your voucher

Your name, full postal address, date of birth and signature must be provided to register. Applicants must be aged 16 or over and must have a resident UK, Channel Island or Isle of Man address. The Knights Privilege Club reserves the right to refuse an application at its sole discretion. Your voucher is issued by, and remains the property of, The Knights Privilege Club. It must be returned to The Knights Privilege Club on request or destroyed when no longer valid for use.

If you breach these Conditions, or if The Knights Privilege Club reasonably believes that you have breached these Conditions and/or abused The Knights Privilege Club your vouchers may be terminated without prior notice. The Knights Privilege Club reserves the right to take any action deemed necessary where a voucher is found to have been used in a way that abuses The Knights Privilege Club. In addition, The Knights Privilege Club also reserves the right to:

(a) stop issuing vouchers at any time;

(b) on notice to you, alter or amend these Conditions of operation of the vouchers and/or The Knights Privilege Club and

(c) on notice to you, amend, withdraw or cancel the vouchers (including the value, redemption and issue of such) and/or terminate The Knights Privilege Club.

You may terminate your account any time in which case all vouchers issued shall be lost.

You are responsible for the security of all vouchers issued. If you believe an unauthorised person has compromised the security of the voucher by, for example, its theft or the theft of personal information relating to it you should notify The Knights Privilege Club immediately. Lost, damaged or stolen vouchers can be replaced by calling The Knights Privilege Club. A voucher issued should be treated like cash. The Knights Privilege Club is not responsible for any unauthorised lost or stolen vouchers. Any voucher issued is personal to the person whose personal details were submitted with their registration. Vouchers are non-transferable, and can only be used by the registered The Knights Privilege Club members

General terms of The Knights Privilege Club.

(a) The Knights Privilege Club may vary these Conditions and will give Privilege Club as much notice as it reasonably can. The Knights Privilege Club reserves the right to give such notice via post, email or our website. The Privilege Club may also display notices detailing any variations to these Conditions in its both centres. using vouchers following such variation shall constitute acceptance of the changes The Privilege Club makes.

(b) Voucher holders should check our website and specifically these Conditions frequently in order to ensure they are aware of any changes that The Knights Privilege Club has made to these Conditions.

(c) If The Knights Privilege Club decides to transfer the scheme to another legal entity it may transfer all of its rights and obligations under these Conditions without your consent and may disclose information about you to any potential or new owner.

(d) The Privilege Club will only be liable to Voucher holders for losses Voucher holders suffer from The Knights Privilege Club breaches of these Conditions. Subject to above. This limit on liability does not exclude or limit The Privilege Club liability for death or personal injury caused to a voucher holder as a result of The Knights Privilege Club negligence. These Conditions prevail if they conflict with any other material issued by The Privilege Club to voucher holders in connection with the operation of The Knights Privilege Club.

(e) The Privilege Club and Voucher holders rights and obligations under these Conditions and any dispute in relation to them shall be governed by English law and heard to the exclusion of all other forums in the English courts. The Privilege Club obligations to Cardholders in respect of The Knights Privilege Club are contained in these Conditions and nowhere else.

Privacy and Cookies Policy

Data Protection

This section sets out how Knights Garden centres collects your personal data, how Knights Garden centres uses it and who Knights Garden centres shares it with. Under the Data Protection Act 1998 (the "Act"), your data controller is the legal entity that operates the " The Knights Privilege Club " centres or websites from which you joined The Knights Privilege Club.

Use of your personal data

(a) By joining up to The Knights Privilege Club and providing your personal data you agree to your name, age, date of birth, postal address, email address and other personal data you supply ('personal data') being used by operators of " The Knights Privilege Club " garden centres and websites as listed above. For both Knights of Chelsham Garden centre and Knights of Woldingham Garden Centre.

(b) You agree to your personal data being used by the Knights Garden centres and by the companies we use to help us organise and administer your application and account so that we can send you updates and information by email and/or post about The Knights Privilege Club, Centres or Website:

▪ (i) ‘The Privilege Club mailings and notification of any programme changes.

▪ (ii) Marketing and promotional materials about goods and/or services on offer at The Knights Privilege Club garden centres and websites.

Retention

We will hold your personal data on our systems for as long as is necessary to administer your membership with the Privilege Club. If you cancel your registration as a member we will 'red flag' your details on our database and retain your details on our database for the longer of 3 years for administration purposes or for any longer period required by law before deleting your profile automatically.

Security

Your personal data shall only ever be held and stored on secure and encrypted computer servers. Knights Garden Centres that it has in place adequate safety and security measures to keep your personal information safe and secure in accordance with its obligations under the Act.

Knights Garden Centres aim to be honest and clear about how Knights Garden Centres respect your privacy and how Knights Garden Centres handle the information Knights Garden Centres collect from you whilst you are using Knights Garden Centres Website. We also want to point out that by visiting Knights Garden Centres Website you are accepting and consenting to the practices described in the Privacy and Cookies Policy.

Access to personal data:

The Data Protection Act (DPA) gives you the right to access information held about you by The Knights garden centres. If you want copies of this information, please send us a written request with the following:

  • Your full name and address

  • A cheque for £10 (admin charge) made payable to Knights Garden Centre

  • Details of any specific information you require

  • One proof of identity - we can accept a photocopy of either your passport or your driver's licence

  • One proof of identity of address - we can accept a photocopy of a recent credit or debit card statement, a utility bill showing the same name and address as on your account.

Do not send original documentation as we cannot guarantee the safe receipt or return of these.
